These Terms of Service ("Terms") govern your access to and use of services provided by Justable AI ("Justable", "we", "us"). By accessing or using the Services, you agree to be bound by these Terms.

1. The Services

Justable provides AI‑enabled quoting and lead‑capture tools you can configure with your pricing and company information. We may modify, suspend, or discontinue the Services or any feature at any time.

2. Eligibility and Accounts

You must be at least 18 years old and have the legal capacity to enter a contract. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.

3. Your Content

You retain rights in content you provide, including pricing rules, templates, and branding. You grant Justable a non‑exclusive, worldwide license to host, process, and display your content as necessary to operate and improve the Services. You represent that you have all rights to provide the content and that it does not infringe third‑party rights.

4. Customer Data

You are the controller of personal data collected from your customers through your use of the Services. You will comply with applicable laws regarding its collection and use. We process such data as a processor according to our Privacy Policy and your instructions under these Terms.

If you purchase paid features, you agree to pay applicable fees and taxes. Except where required by law or expressly stated, fees are non‑refundable. We may change prices prospectively with notice.

7. Confidentiality

Each party may access confidential information of the other. Both parties agree to protect such information and not disclose it except as needed to provide the Services or as required by law.

8. Intellectual Property; Feedback

Justable and its licensors own all rights, title, and interest in the Services and related intellectual property. We grant you a limited, non‑exclusive, non‑transferable license to use the Services as permitted by these Terms. You may submit feedback; you grant us a perpetual, irrevocable, royalty‑free license to use feedback without restriction.

9. AI and Automation Disclosures

The Services may generate content or recommendations using artificial intelligence. Outputs can be inaccurate, incomplete, or not appropriate for your specific use. You are responsible for reviewing outputs and for all decisions made based on them. The Services do not provide legal, accounting, or professional advice.

10. Third‑Party Services

The Services may interoperate with third‑party products or services. Your use of third‑party products is subject to the separate terms of those providers. We are not responsible for third‑party products or their actions.

11. Beta or Trial Features

We may offer features identified as beta, preview, or trial. Such features are provided as‑is, may be modified or discontinued at any time, and are excluded from any service‑level commitments.

12. Availability; Modifications

We do not guarantee uninterrupted availability. We may make changes to the Services, including security or operational updates, at any time. If we make material changes, we will post updated Terms with a new effective date.

13. Disclaimers

The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non‑infringement.

14. Limitation of Liability

To the maximum extent permitted by law, Justable will not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenues, data, or goodwill. Our aggregate liability for all claims arising out of or relating to the Services will not exceed the amounts you paid for the Services in the 12 months before the claim.

15. Indemnification

You will defend, indemnify, and hold harmless Justable and its affiliates, officers, agents, and employees from and against claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your content, or your violation of these Terms or applicable law.

16. Term and Termination

Either party may terminate at any time for any reason. Upon termination, your right to use the Services will cease. Sections that by their nature should survive will survive, including ownership, confidentiality, IP, disclaimers, limitations of liability, indemnification, and dispute resolution.

17. Governing Law; Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to conflicts rules. Any dispute will be resolved through binding arbitration administered by a reputable arbitration provider in San Francisco County, California, on an individual basis. Class, collective, or representative actions are not permitted. You may opt out of arbitration within 30 days of first acceptance by sending notice to legal@justable.ai.

18. Export and Sanctions

You will comply with applicable export control, sanctions, and trade laws. You represent that you are not located in a restricted country or on a restricted party list.

19. Changes to These Terms

We may update these Terms from time to time. If changes are material, we will provide notice by posting the revised Terms with an updated effective date. Your continued use after the effective date constitutes acceptance.
